What Is A Registered Agent?

A registered agent is a company or individual that serves as a representative of a Corporation or an LLC for the sole purpose of receiving service of process and State legal documents and must be listed in Articles of Incorporation or Organization.

The agent must be in the same state as the company, and handles matters such as correspondence from the Secretary of State, receiving service of process notices, and other official government notifications - usually notice of lawsuits and tax forms - on behalf of the LLC or Corporation.

Do I Need A Registered Agent?

If you’re a business owner or entrepreneur who’s decided to form a Corporation or an LLC, you'll need to have a Registered Agent. Once you’ve started preparing your Articles of Organization or Corporation, you should strongly consider getting an agent in the state you're filing the business entity in.

What Do Registered Agents Do?

Registered agents accept tax and legal documents on behalf of their client's business, making sure their client doesn't miss important information regarding lawsuits, tax payments, or judgments involving their business.

In New York State, the Secretary of State automatically serves as your Registered Agent, however, having a professional Registered Agent in New York in addition to the Secretary of State is beneficial as it prevents having legal documents delivered to your place of business or to the residences of the business owners. Additionally, it is the responsibility of a company's Registered Agent to forward such documents to the business in a timely manner.

Why Is This So Important?

The state where your business is registered requires you to have a contact person with a physical address to which documents can be delivered. With the exception of New York State, this means a P.O. mailbox address is not acceptable for an agent's address.

If you don't have a physical location in the state you're filing your business entity in, it is crucial that you have a person who is designated to receive State and Federal legal documents and service of process on your behalf.

Can I Be My Own Registered Agent?

In many cases, it's a good idea to enlist the services of a third-party agent service. Because these third party services are professionals, they always have someone available to receive notices and other State and legal documents on your company’s behalf.

That means you have the assurance that you'll always receive important correspondence which requires a response; and with a professional agent service, promptly forwarding documents and notices received for you is simply part of their responsibility. In other words, that’s what they do: to be the physical mailing address to receive documents on behalf of your business, and make sure those legal documents reach you in a timely manner.

As you can see, designating a professional Registered Agent service for your LLC or Corporation is a good idea.

How to Change Your Registered Agent on File

The LLC or Corporation is required to notify the Secretary of State of any changes in address and submit a change of address form. It is also the responsibility of businesses to notify the state when they either cease or start using an agent. States charge corporations and LLCs a fee to modify agent information.
